  8. NETSCAPE NAVIGATOR END USER LICENSE AGREEMENT
  9. REDISTRIBUTION NOT PERMITTED
  10.  
  11. This Agreement has 3 parts.  Part I applies if you have
  12. not purchased a license to the accompanying software (the
  13. "Software").  Part II applies if you have purchased a
  14. license to the Software.  Part III applies to all license
  15. grants.  If you initially acquired a copy of the Software
  16. without purchasing a license and you wish to purchase a
  17. license, contact Netscape Communications Corporation
  18. ("Netscape") on the Internet at http://www.netscape.com.
  19.  
  20. PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT (YET)
  21. PAID (LIMITED TO EVALUATION, EDUCATIONAL AND NON-PROFIT
  22. USE) GRANT.
  23.  
  24. Netscape grants you a non-exclusive license to use the
  25. Software free of charge if (a) you are a student, faculty
  26. member or staff member of an educational institution
  27. (K-12, junior college, college or library), a staff
  28. member of a religious organization, or an employee of an
  29. organization which meets Netscape's criteria for a
  30. charitable non-profit organization; or (b) your use of
  31. the Software is for the purpose of evaluating whether to
  32. purchase an ongoing license to the Software.  The
  33. evaluation period for use by or on behalf of a commercial
  34. entity is limited to 90 days; evaluation use by others is
  35. not subject to this 90 day limit.  Government agencies
  36. (other than public libraries) are not considered
  37. educational, religious, or charitable non-profit
  38. organizations for purposes of this Agreement. If you are
  39. using the Software free of charge, you are not entitled
  40. to hard-copy documentation, support or telephone
  41. assistance.  If you fit within the description above, you
  42. may use the Software in the manner described in Part III
  43. below under "Scope of Grant."
  44.  
  45. DISCLAIMER OF WARRANTY.
  46.  
  47. Free of charge Software is provided on an "AS IS" basis,
  48. without warranty of any kind, including without
  49. limitation the warranties of merchantability, fitness for
  50. a particular purpose and non-infringement. The entire
  51. risk as to the quality and performance of the Software is
  52. borne by you.  Should the Software prove defective, you
  53. and not Netscape assume the entire cost of any service
  54. and repair. In addition, the security mechanisms
  55. implemented by Netscape software have inherent
  56. limitations, and you must determine that the Software
  57. sufficiently meets your requirements. This disclaimer of
  58. warranty constitutes an essential part of the agreement.
  59. SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF AN IMPLIED
  60. WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND YOU
  61. MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.

  63. PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  64.  
  65. GRANT. Subject to payment of applicable license fees,
  66. Netscape grants to you a non-exclusive license to use the
  67. Software and accompanying documentation ("Documentation")
  68. in the manner described in Part III below under "Scope of
  69. Grant."
  70.  
  71. LIMITED WARRANTY.
  72.  
  73. Netscape warrants that for a period of ninety (90) days
  74. from the date of acquisition, the Software, if operated
  75. as directed, will substantially achieve the functionality
  76. described in the Documentation. Netscape does not
  77. warrant, however, that your use of the Software will be
  78. uninterrupted or that the operation of the Software will
  79. be error-free or secure. In addition, the security
  80. mechanisms implemented by Netscape software have inherent
  81. limitations, and you must determine that the Software
  82. sufficiently meets your requirements.  Netscape also
  83. warrants that the media containing the Software, if
  84. provided by Netscape, is free from defects in material
  85. and workmanship and will so remain for ninety (90) days
  86. from the date you acquired the Software. Netscape's sole
  87. liability for any breach of this warranty shall be, in
  88. Netscape's sole discretion: (i) to replace your defective
  89. media; or (ii) to advise you how to achieve substantially
  90. the same functionality with the Software as described in
  91. the Documentation through a procedure different from that
  92. set forth in the Documentation; or (iii) if the above
  93. remedies are impracticable, to refund the license fee you
  94. paid for the Software. Repaired, corrected, or replaced
  95. Software and Documentation shall be covered by this
  96. limited warranty for the period remaining under the
  97. warranty that covered the original Software, or if
  98. longer, for thirty (30) days after the date (a) of
  99. shipment to you of the repaired or replaced Software, or
  100. (b) Netscape advised you how to operate the Software so
  101. as to achieve the functionality described in the
  102. Documentation. Only if you inform Netscape of your
  103. problem with the Software during the applicable warranty
  104. period and provide evidence of the date you purchased a
  105. license to the Software will Netscape be obligated to
  106. honor this warranty. Netscape will use reasonable
  107. commercial efforts to repair, replace, advise or, for
  108. individual consumers, refund pursuant to the foregoing
  109. warranty within 30 days of being so notified.

  111. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY
  112. MADE BY NETSCAPE. NETSCAPE MAKES NO OTHER EXPRESS
  113. WARRANTY AND NO WARRANTY OF NONINFRINGEMENT OF THIRD
  114. PARTIES' RIGHTS. THE DURATION OF IMPLIED WARRANTIES,
  115. INCLUDING WITHOUT LIMITATION, WARRANTIES OF
  116. MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE,
  117. IS LIMITED TO THE ABOVE LIMITED WARRANTY PERIOD; SOME
  118. JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN
  119. IMPLIED WARRANTY LASTS, SO LIMITATIONS MAY NOT APPLY TO
  120. YOU. NO NETSCAPE DEALER, AGENT, OR EMPLOYEE IS AUTHORIZED
  121. TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO
  122. THIS WARRANTY. If any modifications are made to the
  123. Software by you during the warranty period; if the media
  124. is subjected to accident, abuse, or improper use; or if
  125. you violate the terms of this Agreement, then this
  126. warranty shall immediately be terminated. This warranty
  127. shall not apply if the Software is used on or in
  128. conjunction with hardware or software other than the
  129. unmodified version of hardware and software with which
  130. the software was designed to be used as described in the
  131. Documentation.  THIS WARRANTY GIVES YOU SPECIFIC LEGAL
  132. RIGHTS, AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY
  133. JURISDICTION.
  134.  
  135. PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS
  136.  
  137. SCOPE OF GRANT.
  138.  
  139. You may:
  140.   * use the Software on any single computer;
  141.   * use the Software on a network, provided that each
  142.     person accessing the Software through the network
  143.     must have a copy licensed to that person;
  144.   * use the Software on a second computer so long as only
  145.     one copy is used at a time;
  146.   * copy the Software for archival purposes, provided any
  147.     copy must contain all of the original Software's
  148.     proprietary notices; or
  149.   * if you have purchased licenses for a 10 Pack or a 50
  150.     Pack, make up to 10 or 50 copies, respectively, of
  151.     the Software (but not the Documentation), provided
  152.     any copy must contain all of the original Software's
  153.     proprietary notices.  The number of copies is the
  154.     total number of copies that may be made for all
  155.     platforms.  Additional copies of Documentation may be
  156.     purchased.
  157.  
  158. You may not:
  159.   * permit other individuals to use the Software except
  160.     under the terms listed above;
  161.   * permit concurrent use of the Software;
  162.   * modify, translate, reverse engineer, decompile,
  163.     disassemble (except to the extent applicable laws
  164.     specifically prohibit such restriction), or create
  165.     derivative works based on the Software;
  166.   * copy the Software other than as specified above;
  167.   * rent, lease, grant a security interest in, or
  168.     otherwise transfer rights to the Software; or
  169.   * remove any proprietary notices or labels on the
  170.     Software.
  171.  
  172. TITLE.
  173.  
  174. Title, ownership rights, and intellectual property rights
  175. in the Software shall remain in Netscape and/or its
  176. suppliers. The Software is protected by the copyright
  177. laws and treaties.  Title and related rights in the
  178. content accessed through the Software is the property of
  179. the applicable content owner and may be protected by
  180. applicable law. This License gives you no rights to such
  181. content.
  182.  
  183. TERMINATION.
  184.  
  185. The license will terminate automatically if you fail to
  186. comply with the limitations described herein.  On
  187. termination, you must destroy all copies of the Software
  188. and Documentation.
  189.  
  190. EXPORT CONTROLS.
  191.  
  192. None of the Software or underlying information or
  193. technology may be downloaded or otherwise exported or
  194. reexported (i) into (or to a national or resident of)
  195. Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria
  196. or any other country to which the U.S. has embargoed
  197. goods; or (ii) to anyone on the U.S. Treasury
  198. Department's list of Specially Designated Nationals or
  199. the U.S. Commerce Department's Table of Denial Orders. By
  200. downloading or using the Software, you are agreeing to
  201. the foregoing and you are representing and warranting
  202. that you are not located in, under the control of, or a
  203. national or resident of any such country or on any such
  204. list.
  205.  
  206. In addition, if the licensed Software is identified as a
  207. not-for-export product (for example, on the box, media or
  208. in the installation process), then the following applies:
  209. EXCEPT FOR EXPORT TO CANADA FOR USE IN CANADA BY CANADIAN
  210. CITIZENS, THE SOFTWARE AND ANY UNDERLYING TECHNOLOGY MAY
  211. NOT BE EXPORTED OUTSIDE THE UNITED STATES OR TO ANY
  212. FOREIGN ENTITY OR "FOREIGN PERSON" AS DEFINED BY U.S.
  213. GOVERNMENT REGULATIONS, INCLUDING WITHOUT LIMITATION,
  214. ANYONE WHO IS NOT A CITIZEN, NATIONAL OR LAWFUL PERMANENT
  215. RESIDENT OF THE UNITED STATES.  BY DOWNLOADING OR USING
  216. THE SOFTWARE, YOU ARE AGREEING TO THE FOREGOING AND YOU
  217. ARE WARRANTING THAT YOU ARE NOT A "FOREIGN PERSON" OR
  218. UNDER THE CONTROL OF A FOREIGN PERSON.
  219.  
  220. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER
  221. NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL
  222. NETSCAPE OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO YOU
  223. OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL,
  224. INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER
  225. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF
  226. GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION,
  227. OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. IN NO
  228. EVENT WILL NETSCAPE BE LIABLE FOR ANY DAMAGES IN EXCESS
  229. OF THE AMOUNT NETSCAPE RECEIVED FROM YOU FOR A LICENSE TO
  230. THE SOFTWARE, EVEN IF NETSCAPE SHALL HAVE BEEN INFORMED
  231. OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY
  232. ANY OTHER PARTY. THIS LIMITATION OF LIABILITY SHALL NOT
  233. APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY TO THE
  234. EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION.
  235. FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW THE
  236. EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL
  237. DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY
  238. TO YOU.
  239.  
  240. HIGH RISK ACTIVITIES.
  241.  
  242. The Software is not fault-tolerant and is not designed,
  243. manufactured or intended for use or resale as on-line
  244. control equipment in hazardous environments requiring
  245. fail-safe performance, such as in the operation of
  246. nuclear facilities, aircraft navigation or communication
  247. systems, air traffic control, direct life support
  248. machines, or weapons systems, in which the failure of the
  249. Software could lead directly to death, personal injury,
  250. or severe physical or environmental damage ("High Risk
  251. Activities").  Netscape and its suppliers specifically
  252. disclaim any express or implied warranty of fitness for
  253. High Risk Activities.
  254.  
  255. MISCELLANEOUS.
  256.  
  257. If the copy of the Software you received was accompanied
  258. by a printed or other form of "hard-copy" End User
  259. License Agreement whose terms vary from this Agreement,
  260. then the hard-copy End User License Agreement governs
  261. your use of the Software.  This Agreement represents the
  262. complete agreement concerning this license and may
  263. amended only by a writing executed by both parties. THE
  264. ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS
  265. EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS
  266. SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER.
  267. If any provision of this Agreement is held to be
  268. unenforceable, such provision shall be reformed only to
  269. the extent necessary to make it enforceable.  This
  270. Agreement shall be governed by California law (except for
  271. conflict of law provisions). The application the United
  272. Nations Convention of Contracts for the International
  273. Sale of Goods is expressly excluded.
  274.  
  275. U.S. GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or
  276. disclosure by the Government is subject to restrictions
  277. set forth in subparagraphs (a) through (d) of the
  278. Commercial Computer-Restricted Rights clause at FAR
  279. 52.227-19 when applicable, or in subparagraph (c)(1)(ii)
  280. of the Rights in Technical Data and Computer Software
  281. clause at DFARS 252.227-7013, or at 252.211-7015, or to
  282. Netscape's standard commercial license, as applicable,
  283. and in similar clauses in the NASA FAR Supplement.
